Legal Counsel – M&A & Project Finance
Location: UK – London
Work Pattern: Full time – 40 hrs/week

Reporting to: Iris Wong
This is a full-time position based in London, which will primarily support ASE’s M&A and project finance teams.
Job Responsibilities:
Pro-actively and autonomously provide legal support to the corporate business relating to our solar projects
Be the go-to person for all M&A legal matters, and support in project finance transactions
Negotiate and finalise SPAs and related agreements, with the support of external counsel
Negotiate and finalise facility agreements, security documents and ancillary agreements, with the support of external counsel
Manage M&A DD and Q&A processes
Manage transaction closing processes
Involvement in other stages of the project lifecycle, including incorporation of SPVs, land agreements, construction and O&M, PPAs
Support with review of commercial contracts, including NDAs, LOIs, exclusivity agreements, JV agreements, consultancy agreements, corporate authorisations
Track changes to legislation and their impact on our development pipeline/future focus
Instruct and manage external lawyers
2. General
Help to create procedures and a knowledge base that will drive the evolution of best practice within the company
Supervise and mentor junior team members
Build a network within the renewable energy sector
3. Report to senior management
Report legal project and/or transaction status, progress, timeline, quality, risks to senior management
Requirements:
3-5 years’ PQE, with experience as an M&A or project finance lawyer, preferably in renewable energy
English qualified lawyer preferred, but will consider lawyers qualified in other jurisdictions
An experienced and energetic legal specialist who will support the business by ensuring legal compliance at all stages in its venture of growth
High level understanding and interest in the different aspects of solar projects
Strong negotiation, influencing, and commercial skills
Excellent communication skills and the ability to engage with a wide range of stakeholders from diverse backgrounds
Flexible, creative, and entrepreneurial, with positive attitude and ability to perform under pressure
Self-driven with the ability to work independently as well as in a team
Attention to detail
Spoken and written fluency in English. Ability to speak German would be a bonus
IT literacy and familiarity with Microsoft applications including Teams, SharePoint, Word, Excel and PowerPoint
Willingness to travel occasionally to Germany and the Netherlands
