Legal Counsel

Location: Frankfurt or Berlin, Germany or London, UK
Contract: Permanent
Work Pattern: Full time - 40 hrs/week

The Opportunity

This is a full-time position in Germany or UK which will primarily support ASE's German business with the development and construction of large-scale ground-mounted solar PV projects. We are seeking an experienced and energetic legal specialist who will support the business by ensuring legal compliance at all stages in its venture of growth.

Job Responsibilities

  • Be the go-to person for all solar PV project legal related matters in Germany
  • Establish relationships with stakeholders involved in all legal matters required for successful project development and corporate day-to-day business
  • Negotiate and finalise agreements with third party contractors, with the support of the rest of the legal team
  • Manage legal processes for our solar PV projects in Germany
  • Provide high standards best practice legal support in the project construction process, supporting with drafting, negotiating and finalizing key project agreements such as EPC contracts and O&M contracts.
  • Involvement in other stages of the project lifecycle, including incorporation of SPVs, land agreements, PPAs and project financing.
  • Provide high standards best practice legal support in our corporate business, such as NDAs, LOIs, JV agreements, consultancy agreements, corporate authorisations, as required
  • Track changes to legislation and their impact on our development pipeline/future focus
  • Instructing and managing external lawyers
  • General:
    • Create procedures and help to build a knowledge base that will drive the evolution of best practice to deliver a competitive edge
    • Create relationships within the renewable energy sector with a view to acquiring suitable projects at various stages of development
  • Report to senior management:
    • Report legal project status, progress, timeline, quality, project risks to senior management and the Company

Requirements

  • Master's or Bachelor's degree in a relevant area of expertise. German qualified lawyer preferred, but will consider lawyers qualified in other jurisdictions
  • 5-10 years' experience as a construction lawyer, preferably in renewable energy
  • High level understanding and interest in the different aspects of the project, including development, technical, offtake, O&M and project finance
  • Strong negotiation, influencing, and commercial skills
  • Excellent communication skills and the ability to engage with a wide range of stakeholders from diverse backgrounds
  • Flexible, creative, and entrepreneurial with positive attitude and ability to perform under pressure
  • Self-driven with the ability to work independently as well as in a team. Attention to detail
  • Spoken and written fluency in German and English
  • IT literacy and familiarity with Microsoft applications including Teams, SharePoint, Word, Excel and PowerPoint
  • Willingness to travel occasionally within (or to) Germany and abroad
  • Right to work in Germany (if hired in Germany) or the UK (if hired in the UK)
